TERMS OF SALE

- Parties to the contract.
The parties to the online sales contracts are as follows:
SBS SpA, a company incorporated under Italian law, with registered office in Italy – 28010 Miasino, via circonvallazione s/n (VAT and Tax Code: 01888310032, REA No. 202775), hereinafter simply referred to as 'SBS', and the user, a natural person of legal age who, by accessing the website www.sbsmobile.com, will purchase products online for purposes unrelated to any commercial, artisanal, professional, or entrepreneurial activity, hereinafter simply referred to as 'Customer(s)'. SBS reserves the right to refuse orders from persons other than Customers, as defined above, as well as orders placed by persons with whom it is in an ongoing legal dispute, whether in court or out of court, over previous orders or for any other legitimate reason, without being required to provide any reason. Please note that providing a VAT number on the purchase order will qualify the buyer as a "professional," giving SBS the right to reject the order thus submitted. Rejections of orders will be communicated by SBS SpA to the email address provided by the user during the online purchase process. - Scope of application.
2.1. These General Conditions of Sale govern all purchase contracts relating to products sold directly by SBS through the online catalogue on the website www.sbsmobile.com and concluded in accordance with the terms set out below (hereinafter referred to for brevity as “the General Conditions of Sale”).
2.2. Purchases will only be possible if the products are shipped to one of the following countries: Italy, Austria, Belgium, Denmark, Finland, France, Germany, Greece, Ireland, Luxembourg, the Netherlands, Portugal, Spain, and Sweden.
Please note that the Pre-Contractual Information for Consumers, the SBS General Conditions of Sale and Privacy Policy, as well as the General Conditions of Access and Use of the website, are made available exclusively in Italian and English.
2.3. Purchase orders placed by anyone residing or domiciled in Livigno, Campione d'Italia, the Republic of San Marino, the Vatican City, or by anyone not residing or domiciled in one of the countries listed in the previous article 2.2 will not be accepted. For security reasons, orders for products to be delivered to a PO box will not be accepted, nor will orders where it is not possible to identify the private individual receiving the order and/or their address. Rejections of orders will be communicated, regardless of the underlying reason, by SBS SpA to the email address provided by the user during the online purchase process.
2.4. Before completing/completing the online purchase procedure, the Customer will be asked to declare that he or she has read the Pre-Contractual Information for Consumers, that he or she has read all the information provided to him or her during the purchase procedure, and that he or she fully and unconditionally accepts these General Conditions of Sale and SBS Privacy Policy, as well as the General Conditions of Access and Use of the site, which he or she is requested to read carefully.
Failure to accept these conditions will not allow the user to transmit the purchase order to SBS.
2.5. These General Conditions of Sale may be modified by SBS SpA at any time, without prior notice.
2.6. Each contract will be governed by the General Conditions of Sale in force at the time the order is placed by the Customer. - Conclusion of the purchase contract.
3.1. To place your purchase order, you must follow the instructions for purchasing products indicated on the website. Registration on the website www.sbsmobile.com is free.
The user can select the chosen product or products and add them to the virtual shopping cart. Please note that, before submitting the purchase order, the Customer is required to read the Pre-Contractual Information for Consumers, read and accept the General Conditions of Access and Use of the website, these General Conditions of Sale and Privacy Policy, the Privacy Policy contained in these General Conditions of Sale and Privacy Policy and in the General Conditions of Access and Use of the website, the information on the right of withdrawal contained in these General Conditions of Sale, as well as the summary of information regarding the essential characteristics of the selected products and the details of delivery costs and any additional costs.
If the Customer needs to correct any data entry errors, they must follow the appropriate modification procedure indicated on the website before submitting their order. By submitting the order, which occurs by clicking the appropriate button labeled "order with obligation to pay"), the Customer acknowledges and declares that they have read all the information provided during the purchase process and fully accepts the General Conditions of Sale, as they will be binding once the purchase is completed.
3.2. The Customer is required to verify the accuracy of the data entered before confirming the purchase order. Upon confirmation by the Customer, the order will be sent directly to SBS SpA and cannot be further modified. By electronically submitting the order, the Customer accepts and undertakes to comply with these General Conditions of Sale in the execution of the contract with SBS SpA.
3.3. The purchase order will be stored in the SBS SpA database located at the company's registered office for the period of time necessary to exercise the right of withdrawal and in any case in compliance with the applicable legal terms and conditions. The Customer may request a copy from SBS SpA at the following email address: info@sbsmobile.it or, by fax, at the following number: +39-0322-980910.
3.4. The purchase contract stipulated between SBS SpA and the Customer shall be deemed concluded upon acceptance, even partial, of the Customer's order by SBS SpA. Acceptance is expressed via a confirmation email sent to the email address indicated by the Customer.
3.5. The confirmation message will include the date and time of the order and a 'Customer Order Number', to be used for all further communications with SBS SpA. The message will contain all the information (including shipping addresses) entered by the Customer, who undertakes to verify its accuracy and to promptly communicate any corrections to SBS at the following address/email address: info@sbsmobile.it. The message will also include a summary of the information already included in the order, i.e., the essential characteristics of each product purchased, the price including VAT, and a detailed breakdown of shipping and delivery costs and any other applicable costs.
3.6. Once the online purchase procedure has been completed, the Customer is invited to print and/or save an electronic copy of their order and the related confirmation and, in any case, to keep a copy of the Pre-Contractual Information for Consumers, the SBS General Conditions of Sale and Privacy Policy, as well as the General Conditions of Access and Use of the website in force at the time the purchase order was submitted.
3.7. For invoice issuance, the information provided by the Customer at the time of ordering will be used. No changes to the invoice will be possible after it has been issued.
3.8. The Customer may monitor the status of his or her order at any time in his or her private area, or by contacting SBS at the following telephone number +39 0322 980909 or at the following email address: info@sbsmobile.it - Subject of the contract and online catalogue.
4.1. The subject of these General Conditions of Sale are exclusively the products present in the online catalogue of the site www.sbsmobile.com
4.2. The Customer may only purchase products listed and available in the catalog at the time of placing the order. SBS SpA reserves the right to change the product catalog without notice. Orders cannot be placed for products listed in the online catalog that are marked as unavailable.
4.3. Product availability is monitored and updated by SBS SpA. However, given that multiple users may purchase the same product at the same time, the product may appear briefly available, but is actually out of stock or not immediately available. If the ordered product is unavailable for this reason, or in other cases of subsequent unavailability of products, SBS SpA will contact the Customer within 7 working days of placing the order, communicating the unavailability and any alternative solutions via email to the address provided by the Customer. If SBS does not deliver the ordered product, which is deemed unavailable, within thirty days of the contract conclusion date, the Customer may request SBS SpA to make the delivery within an additional period of time appropriate to the circumstances, or may terminate the contract and obtain a refund of any sums already paid to SBS SpA under the contract.
4.4. All products offered for sale are described (with indication, by way of example and not limited to, of the qualities, characteristics, prices, images) in the specific online catalogue on the website. www.sbsmobile.com. Each product page indicates the retail price, including VAT. Product prices will be indicated in euros.
4.5. Shipping, delivery, and any additional costs to the sales price including VAT will be detailed and displayed before the order is placed.
4.6. Please note that any costs for connecting to the Site via the Internet, including telephone costs, are the responsibility of the user, according to the rates applied by the operator selected by the user.
4.7. SBS reserves the right to change the prices of the products offered for sale at any time and without notice. Customers will, in any case, be charged the product prices indicated on the website at the time of placing each order.
4.8. The image, if included in the product description, is for illustrative and indicative purposes only and may not reflect the actual characteristics of the item, but may differ in color, size, and accessory products shown in the image. Specifically, the images and colors of the products offered for sale may differ from those shown, also due to the technical characteristics and resolution of the monitor, equipment, and software used by the Customer. SBS therefore declines all responsibility for the graphic representation of the products on the site due to the aforementioned technical characteristics. - Payment methods.
5.1. The goods can be paid for under the following conditions: by credit card or via PayPal.
We accept payments made with credit cards belonging to the following circuits: VISA, MASTERCARD and AMERICAN EXPRESS.
5.2. Payments made by credit card will be governed by the regulations adopted by the individual credit card circuits.
5.3. Credit card details for payments made directly via Visa, MasterCard, and American Express, and for those made via PayPal, are not visible to SBS SpA.
Credit card data is managed directly by the circuit operator and is protected against unauthorized access through SSL (Secure Socket Layer) encrypted data transfer.
All current browsers support SSL encryption. This data is not accessible to third parties, not even SBS SpA.
5.4. Payments by credit card: Orders will be shipped only after SBS SpA has verified the Customer's credit card details with the bank and received authorization to charge the credit card. The Customer's credit card will be charged only after the order has been shipped.
5.5. Electronic payment via PayPal: Electronic payment via PayPal is subject to the limits indicated from time to time in the purchase procedure that the Customer must follow to place the order. This payment system requires the Customer to open a PayPal account and accept the terms and conditions of the relevant service. SBS accepts payments only from Customers registered on the Italian PayPal website. The order amount will be charged to the Customer's PayPal account after SBS confirms the order. Delivery of the purchased product will be made after the purchase price has been credited to SBS's PayPal account. Any refunds to the Customer will be processed by SBS to the Customer's PayPal account using the methods provided by PayPal. A confirmation email from PayPal will be sent for each transaction.
5.6. SBS declines all responsibility for any fraudulent or illicit use of credit cards by third parties when paying for products purchased on the site. SBS reserves the right to cancel the transaction if it suspects fraudulent use of credit cards and to request additional information and/or documentation, without which it reserves the right to refuse payment. - Transport and delivery of products.
6.1. SBS SpA accepts orders exclusively for delivery to the following countries: Italy, Austria, Belgium, Denmark, Finland, France, Germany, Greece, Ireland, the Netherlands, Portugal, Spain, and Sweden. Please note that orders for delivery to Livigno, Campione d'Italia, the Republic of San Marino, and the Vatican City State will not be accepted.
6.2. The ordered products will be shipped using the methods selected by the Customer, among those available and indicated on the SBS SpA website at the time the order is placed. SBS SpA uses express couriers appointed by it to ship the order, at its sole discretion.
6.3. From the moment the ordered product becomes available, it will normally be shipped within a minimum of 2 and a maximum of 6 working days for deliveries within Italy. For deliveries to countries outside Italy, from the moment the ordered product becomes available, it will normally be shipped within a minimum of 2 and a maximum of 6 working days.
In any case, without prejudice to the provisions of the previous article 4.3., the product will be shipped within 30 working days from the date of conclusion of the contract.
6.4. To avoid delivery issues and possible storage charges, the Customer is requested to indicate an address where someone is always available to collect the order.
6.5. Upon delivery of the goods by the courier, the Customer or their representative is required to check that the contents of the delivered package correspond to those ordered and indicated on the invoice sent by email. Any damage to the packaging and/or product, or any discrepancy in the number of packages compared to the invoice, must be immediately reported by adding a handwritten and signed comment on the delivery note. Otherwise, once the courier's delivery document has been signed, without raising any objection, the Customer will no longer be able to raise any complaints regarding the external characteristics of the delivered goods or the number of packages received. - Right of withdrawal
7.1. Only the consumer (i.e., the individual Customer who purchases the products for purposes other than any commercial, artisanal, professional, or entrepreneurial activity carried out pursuant to Article 3 of Legislative Decree 206/2005 (hereinafter, for brevity, the "Consumer")) has the right to withdraw from the contract without penalty and without specifying the reason, within 30 working days of the acquisition of physical possession of the goods by the Consumer or a third party other than the carrier, pursuant to Article 52 of Legislative Decree 206/2005 (Consumer Code). In the case of multiple goods ordered by the Consumer in a single order and delivered separately, the 30-day period for exercising the right of withdrawal will instead run from the day on which the Consumer or a third party other than the carrier acquires physical possession of the last good. Please note that the replacement of the chosen product with another product is excluded, except in cases expressly provided for in these General Conditions of Sale.
7.2. The parties expressly agree that indicating a VAT number in the purchase order qualifies the buyer as a "professional," with the consequent inapplicability of the provisions set forth in Articles 52 et seq. of Legislative Decree no. 206/2005.
7.3. To validly exercise the right of withdrawal, pursuant to art. 54 of Legislative Decree no. 206/2005, the Consumer must inform SBS SpA of his or her decision to withdraw from the contract within the aforementioned period of 30 working days from receipt of the ordered products. To this end, the Consumer may avail himself or herself of:
a) of the request that can be exercised through the specific page in the private area of the site www.sbsmobile.com . The Consumer is invited to carefully read the instructions on exercising the right of withdrawal contained in the "Right of withdrawal" section of the website and to carefully check what is included in the withdrawal form before sending it; or
b) any other explicit declaration of withdrawal from the contract containing: i) the explicit expression of the will to exercise the right of withdrawal pursuant to the Consumer Code; ii) the indication of the products for which the Consumer intends to exercise the right of withdrawal; iii) the date on which the product was ordered and received; iv) the name, surname and address of the Consumer.
7.4. The withdrawal form or explicit declaration of withdrawal must be sent within the aforementioned term of 30 working days from receipt of the ordered products, with the burden of proof relating to the exercise of the right of withdrawal pursuant to art. 54 of Legislative Decree no. 206/2005 falling on the Consumer. The form or declaration may also be sent, within the same term, by letter sent by post, telegram, telex, email (to the email address info@sbsmobile.it) or fax (to the following number: +39-0322-980910).
7.5 To return products purchased online on the website, the Consumer is invited to contact couriers appointed by SBS SpA. The methods and timeframes for returning the products to SBS must be agreed by the Consumer directly with SBS SpA.
Please note that if the Consumer uses a courier appointed by SBS, the transport costs for returning the products will be borne exclusively by SBS SpA.
If the Consumer does not use a courier appointed by SBS (the Consumer is free to use other couriers), they will be responsible for both proof of returning the products and the related return costs. Please note that, in this latter case, SBS SpA may withhold the refund until the goods are received.
7.6. The Consumer exercising the right of withdrawal must return the goods to SBS SpA perfectly intact, complete with all accessories and original packaging, to the operational headquarters of SBS SpA, via circonvallazione s/n, 28010 Miasino (NO), Italy.
7.7. Upon receipt of the withdrawal notice by SBS SpA, the parties are released from their respective obligations arising from the purchase order. If the products have been delivered, the consumer is required to return them within 30 working days from the date on which they communicated to SBS SpA their decision to withdraw from the contract pursuant to art. 54 of Legislative Decree no. 206/2005. For the purposes of expiry of this deadline, the goods are considered returned when they are handed over to the courier for transport.
7.8. If the right of withdrawal is exercised correctly by the Consumer, SBS SpA will refund the total amount owed by the Consumer for the purchased product, including delivery costs. The refund is free of charge, using the same payment method used by the Consumer for the initial transaction, unless otherwise expressly agreed with the Consumer, who will not incur any costs as a result of the refund. The refund will be made as quickly as possible and in any case within 30 days from the date on which SBS SpA becomes aware of the Consumer's exercise of the right of withdrawal. The sums are considered refunded within the terms if they are actually returned, shipped, or re-credited with a value date no later than the expiration of the previously indicated term. Please note that if the recipient of the products is not the same person who made the payment for their purchase, the refund will be made by SBS SpA to the person who made the payment.
7.9. To be validly exercised, the withdrawal is in any case subject to the following conditions:
• the right applies to the product purchased in its entirety; it is not possible to exercise the right of withdrawal on only part of the product purchased (e.g. accessories, attached software, etc.);
• the purchased product must be intact and returned in its original packaging, complete in all its parts (including packaging and any documentation and accessories: manuals, cables, etc.). The original product packaging must therefore be covered with additional protective packaging to preserve its integrity and protect it during transport, including from any writing or labels;
• Upon arrival at the warehouse, the product will be inspected for any damage or tampering not resulting from transport. If the original packaging and/or wrapping are missing and/or damaged, SBS SpA will withhold a percentage of the refund due, in any case no more than 10% of the refund, as a contribution to the restoration costs.
7.10. The substantial integrity of the goods to be returned is an essential condition for exercising the right of withdrawal. In particular, the right of withdrawal is forfeited in cases where SBS SpA finds:
• the lack of the external packaging and/or the original internal packaging;
• the absence of integral elements of the product (by way of example and not limited to: accessories, cables, manuals, components);
• damage to the product.
In the event of forfeiture of the right of withdrawal, SBS SpA will return the purchased product to the sender, charging the latter the shipping costs.
- Guarantees
8.1. All products sold by SBS SpA are covered, for Consumers only, by the 24-month legal guarantee for defects of conformity, pursuant to Articles 128 et seq. of Legislative Decree no. 206/2005 (Consumer Code), which, in terms of consumer protection, applies the corresponding Community Directives and, in particular, the principles and procedures established by European Directive 1999/44/EC. To benefit from warranty assistance, the Customer must retain the purchase invoice.
8.2. The sale of products to consumers is subject to the legal guarantees provided for, inter alia, by Articles 129, 130, 132, 133, 135, 135-bis, 135-ter, and 135-quater of the Consumer Code. Pursuant to these regulatory provisions, the seller is obliged to deliver to customers Products that meet the requirements set forth in paragraphs 2 and 3 of Article 135-quater. 129 of the Consumer Code, as well as the provisions of Articles 130 and 131, insofar as compatible, without prejudice to the provisions of Article 132. Therefore, the seller shall, inter alia, deliver products that comply with certain subjective requirements (i.e., where relevant, (i) they must correspond to the contractual description, type, quantity and quality and possess the functionality, compatibility, interoperability and other characteristics as provided for in the sales contract, (ii) be suitable for any particular use desired by the consumer, which has been brought to the attention of the seller at the latest at the time of conclusion of the sales contract and which the seller has accepted, (iii) be supplied together with all accessories, instructions, including those relating to installation, provided for in the sales contract, and (iv) be supplied with updates as provided for in the sales contract) and certain objective requirements (i.e., they must (a) be suitable for the purposes for which goods of the same type are normally used, taking into account, where appropriate, other provisions of national law and consumer law); of the Union, technical standards or, in the absence of such technical standards, industry codes of conduct applicable to the specific sector, (b) where relevant, have the quality and correspond to the description of a sample or model that the seller has made available to the consumer before the conclusion of the contract, (c) where relevant, be delivered with accessories, including packaging, installation instructions or other instructions, that the consumer can reasonably expect to receive, (d) be of the quantity and possess the qualities and other characteristics, including in terms of durability, functionality, compatibility and safety, ordinarily present in goods of the same type and that the consumer can reasonably expect, taking into account the nature of the goods and public statements made by or on behalf of the seller, or by other persons in the previous links of the chain of commercial transactions, including the producer, in particular in advertising or on labelling). In the event of a lack of conformity existing at the time of delivery (for example, a defective product or a product different from the one ordered) and which becomes apparent within two years of delivery, the consumer, pursuant to art. 135-bis of the Consumer Code, the consumer has the right to have the goods brought into conformity through repair or replacement, free of charge, within a reasonable timeframe and without significant inconvenience to the consumer. The consumer may choose whether to have the product repaired or replaced, unless this is impossible or would impose disproportionate costs on the seller, taking into account all the circumstances of the case, including (i) the value the goods would have if there were no lack of conformity; (ii) the extent of the lack of conformity; and (iii) the possibility of pursuing the alternative remedy without significant inconvenience to the consumer. Pursuant to Article 135-ter of the Consumer Code, in the event that the consumer requests the repair or replacement of the goods, the consumer will be obliged to make the goods available to the seller, who will collect them at their expense. The repair or replacement of the goods will be carried out by the seller within a reasonable timeframe from the moment the consumer is informed of the lack of conformity and free of charge to the latter. Where (i) the seller has not repaired or replaced the goods, or has not repaired or replaced the goods, where possible, or has refused to bring the goods into conformity pursuant to paragraph 3; (ii) a lack of conformity has arisen despite the seller's attempt to bring the goods into conformity, (iii) the lack of conformity is so serious as to justify an immediate reduction in the price or termination of the sales contract, or (iv) the seller has declared, or it is clear from the circumstances, that it will not bring the goods into conformity within a reasonable period or without significant inconvenience to the consumer), the consumer may obtain an appropriate reduction in the price of the products proportional to the decrease in value of the product received by the consumer compared to the value it would have had if it had been compliant (pursuant to the provisions of art. 135-quater, paragraph 1 of the Consumer Code), or may obtain termination of the contract, pursuant to art. 135-quater, paragraphs 2, 3, and 4 of the Consumer Code. The consumer may terminate the sales contract by means of a declaration expressing the decision to terminate the contract, to be sent to the following addresses: info@sbsmobile.it If the consumer terminates the contract, they must return the goods to the seller at the seller's expense; the seller will refund the consumer the price paid for the purchased goods upon receipt of i) the goods; or ii) the documentary evidence provided by the consumer attesting to the fact that the goods were returned or shipped to the seller. The consumer is not entitled to terminate the contract if the lack of conformity is only minor. Unless proven otherwise, any lack of conformity that becomes apparent within one year of the product being delivered is presumed to have already existed at that date, unless this assumption is incompatible with the nature of the product or the nature of the lack of conformity. Any action to assert a lack of conformity not fraudulently concealed by the seller expires, in any case, within 26 (twenty-six) months of delivery of the product, unless the consumer has agreed to performance of the contract. In such a case, the consumer may always assert the rights set forth in Article 135-bis of the Consumer Code. In the event that the consumer requests the repair or replacement of the Product due to a lack of conformity of the product, the consumer must make the latter available to the seller and the delivery costs relating to the return to the seller of the product to be repaired or replaced, as well as all costs relating to the delivery to the consumer of the repaired or replaced product, shall be borne by the seller.
8.3. If the product defect does not result from a lack of conformity, the Customer will not be able to avail of the guarantee of conformity provided for in the articles of the Consumer Code cited in the previous paragraph 8.2 and if SBS has carried out checks and/or interventions directly - or through an independent Technical Assistance Center - the Customer will be charged for any costs of checking and restoring the product, as well as transport costs if incurred by SBS SpA.
- Liability of third party agents
Please note that SBS SpA is not responsible for the actions of third parties who, as independent auxiliaries, intervene in the management or execution of payment, transport and delivery transactions of the goods on behalf of the Customer and in any other operation connected to the execution of the contracts concluded in accordance with these General Conditions of Online Sale. - Applicable law.
10.1. These General Conditions of Sale and the contracts concluded between the Customer and SBS SpA pursuant to the aforementioned Conditions are governed by Italian law, with particular reference to Legislative Decree no. 70/2003 (Electronic Commerce Regulations). If the Customer qualifies as a Consumer, Legislative Decree no. 206/2005 (Consumer Code) will also apply, without prejudice to any other mandatory provisions prevailing in the Consumer's country of residence. In particular, reference is made to the provisions contained in Chapter I, Title III, Part III of Legislative Decree no. 206/2005 regarding distance contracts stipulated with Consumers. - Competent court.
For any disputes, if the Customer is a Consumer, the territorial jurisdiction is that of the court of the consumer's place of residence or domicile, pursuant to applicable law, or, at the Consumer's discretion, in the event of an action brought by the Consumer, the Court of Verbania of the Italian Judicial Authority. For any disputes with parties who are not consumers, the Court of Verbania of the Italian Judicial Authority has exclusive jurisdiction.

- Nullity and invalidity
In the event that one or more of these clauses, or parts thereof, are invalid due to a conflict with mandatory provisions of law, such provisions shall be deemed to be automatically replaced, to the extent of the conflict, by the provisions of law. Any tolerance of violations and/or conduct inconsistent with these General Conditions of Sale shall not be considered a waiver of the express provisions thereof, nor shall it affect the validity of the infringed clauses. - Contacts

UNFAIR TERMS
The Customer expressly declares approval, pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, of the following clauses: 2. Scope of application; 4.
